These Terms of Service ("Terms") govern your access to and use of ARBITER, a semantic coherence analysis platform operated by TRAUT Applied Research ("TRAUT," "we," "us," or "our"). By accessing or using ARBITER, you agree to be bound by these Terms.

1. Description of Service

ARBITER is a decision infrastructure platform that measures semantic coherence—the geometric relationships between concepts in high-dimensional semantic space. Our service:

• Analyzes constraint relationships and identifies coherent solution paths
• Provides quantitative coherence scores and comparative analysis
• Operates as a measurement and analysis tool only

2. No Professional Advice

• Legal Advice: Coherence analysis of legal documents or strategies is not legal advice. Consult a licensed attorney for legal matters.
• Medical Advice: Analysis of medical protocols, drug pathways, or treatment options is not medical advice. Consult qualified healthcare professionals for medical decisions.
• Financial Advice: Analysis of investment strategies, M&A decisions, or financial instruments is not financial advice. Consult licensed financial advisors for financial decisions.
• Military or Defense Advice: Tactical or strategic analysis is provided as a decision-support tool only. All military and defense decisions remain the sole responsibility of qualified personnel and proper command authority.
• Professional Advice of Any Kind: ARBITER is an analytical tool. It does not replace professional judgment, expertise, or licensed practitioners in any field.

3. User Responsibilities

By using ARBITER, you acknowledge and agree that:

• You are solely responsible for all decisions made using ARBITER analysis
• You will not rely exclusively on ARBITER output for critical decisions without independent verification
• You will comply with all applicable laws and regulations in your use of the service
• You have the authority to input the data you submit and that doing so does not violate any confidentiality obligations
• You will not use the service for any unlawful purpose or in any way that could harm TRAUT or third parties

4. Limitation of Liability

TRAUT AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, revenue, or business opportunities
• Loss of data or data corruption
• Business interruption
• Personal injury or property damage
• Any damages arising from decisions made based on ARBITER analysis
• Any damages arising from actions taken or not taken based on coherence scores or analysis results

IN NO EVENT SHALL TRAUT'S TOTAL LIABILITY EXCEED THE AMOUNTS PAID BY YOU TO TRAUT IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

5. Disclaimer of Warranties

ARBITER IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• MERCHANTABILITY
• FITNESS FOR A PARTICULAR PURPOSE
• NON-INFRINGEMENT
• ACCURACY OR COMPLETENESS OF RESULTS
• UNINTERRUPTED OR ERROR-FREE OPERATION

We do not warrant that coherence analysis results will be accurate, complete, or suitable for any particular purpose. Users must exercise independent judgment in interpreting and applying any analysis.

6. Indemnification

You agree to indemnify, defend, and hold harmless TRAUT and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of ARBITER
• Your violation of these Terms
• Your violation of any rights of a third party
• Any decisions or actions taken based on ARBITER analysis

7. Acceptable Use

You agree not to use ARBITER to:

• Violate any applicable laws or regulations
• Infringe on intellectual property rights of others
• Transmit malicious code or interfere with the service
• Attempt to gain unauthorized access to our systems
• Use the service for any purpose that could cause harm to individuals or organizations
• Reverse engineer, decompile, or attempt to extract the source code of the platform

8. Intellectual Property

ARBITER, including its algorithms, methodologies, user interface, and documentation, is the intellectual property of TRAUT Applied Research. You are granted a limited, non-exclusive, non-transferable license to use the service in accordance with these Terms.

You retain all rights to the data you input into ARBITER. We claim no ownership over your input data or the specific analysis results generated for you.

9. Service Modifications

We reserve the right to modify, suspend, or discontinue ARBITER at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the service.

10. Termination

We may terminate or suspend your access to ARBITER immediately, without prior notice, for any reason, including breach of these Terms. Upon termination, your right to use the service will cease immediately.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in San Diego County, California.

12. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

13. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and TRAUT regarding the use of ARBITER and supersede any prior agreements.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on our website. Your continued use of ARBITER after changes constitutes acceptance of the modified Terms.
